1. DEFINITIONS
================================================================================

"Software" refers to ChatGPUI and all associated documentation, source
code, and binary distributions.

"Licensee" refers to the individual or entity that has purchased a commercial
license.

"Commercial Use" includes, but is not limited to:
  - Using the Software in a proprietary or closed-source product
  - Offering the Software as a hosted service (SaaS) without releasing source code
  - Distributing the Software as part of a commercial product

2. GRANT OF LICENSE

Subject to the terms of this Agreement and payment of applicable fees, AprilNEA LLC grants the Licensee a non-exclusive, non-transferable, worldwide
license to:

  a) Use the Software for Commercial Use
  b) Modify the Software to create derivative works
  c) Distribute the Software as part of Licensee's products
  d) Use the Software without the obligation to disclose source code

3. RESTRICTIONS

The Licensee may NOT:

  a) Sublicense, sell, or transfer this license to third parties
  b) Remove or alter any proprietary notices or labels on the Software
  c) Use the Software to create a competing product that is substantially similar
  d) Claim ownership of the original Software

4. FEES AND PAYMENT
================================================================================

License fees are determined based on:

  [ ] Single Developer License: $49 (one-time)
  [ ] Team License (at least 3 developers): $29 (one-time)
  [ ] Enterprise License: Contact for quote

1. SUPPORT AND UPDATES

  a) This license includes 1 year of updates and bug fixes
  b) Technical support is available via email
  c) Extended support agreements are available separately

6. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

7. LIMITATION OF LIABILITY

IN NO EVENT SHALL AprilNEA LLC BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER
LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM,
OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE
SOFTWARE.

8. TERMINATION

This license is effective until terminated. It will terminate automatically if
the Licensee fails to comply with any term of this Agreement. Upon termination,
the Licensee must destroy all copies of the Software.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of
United States, without regard to its conflict of law provisions.
