This Proprietary Software License Agreement ("Agreement") is between you ("Licensee") and CryptoEats LLC ("Licensor"), a Florida limited liability company. By accessing, downloading, installing, or using the CryptoEats software, including but not limited to the mobile applications, backend services, AI components, and tax automation engine (collectively, the "Software"), you agree to be bound by this Agreement.
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Software for personal or internal business purposes, subject to payment of applicable fees and compliance with this Agreement. This license does not include rights to modify, distribute, sublicense, reverse-engineer, or create derivative works from the Software.
The Software is proprietary and protected by U.S. copyright laws (Title 17 U.S.C.), Florida Uniform Trade Secrets Act (Chapter 688, Florida Statutes), and other intellectual property laws. All rights, title, and interest in the Software, including source code, algorithms, and custom features, remain with Licensor. Licensee acknowledges that the Software contains trade secrets and agrees to maintain confidentiality.
Licensee shall not:
(a) copy, reproduce, or distribute the Software without prior written consent;
(b) remove or alter any copyright, trademark, or proprietary notices;
(c) use the Software for illegal purposes or in violation of Florida laws (e.g., age-restricted deliveries under SB 676);
(d) circumvent technological measures (per DMCA, 17 U.S.C. § 1201).
Use of the Software may require subscription fees as outlined in Licensor's terms of service. All payments are non-refundable.
This license terminates automatically upon breach. Upon termination, Licensee must cease use and destroy all copies of the Software.
The Software is provided "AS IS" without warranties. Licensor disclaims liability for indirect damages, limited to fees paid in the prior 12 months.
This Agreement is governed by Florida law (UCC Chapter 672 for contracts) and U.S. federal law for copyrights. Disputes shall be resolved in Miami-Dade County courts.
This Agreement constitutes the full understanding and supersedes prior agreements.
