Thank you for your interest in UCAgent (the "Project"). In order to clarify the intellectual property license granted with Contributions from any person or entity, the Project must have a Contributor License Agreement ("CLA") on file that has been agreed to by each Contributor.
"You" (or "Your") shall mean the copyright owner or legal entity authorized by the copyright owner that is making this Agreement.
"Contribution" shall mean any source code, object code, documentation, or other original works of authorship that is intentionally submitted by You for inclusion in the Project.
Subject to the terms and conditions of this Agreement, You hereby grant to the UCAgent Project Maintainers and to recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.
Subject to the terms and conditions of this Agreement, You hereby grant to the UCAgent Project Maintainers and to recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work.
You acknowledge and agree that the UCAgent Project Maintainers may, as part of the governance of the Project, assign or transfer this Agreement and all rights granted hereunder to a successor legal entity (e.g., a corporation, foundation, or other legal organization) established for the purpose of managing or commercializing the Project. Such transfer shall be effective upon public notice within the Project repository, without requiring further consent or re-signing.
You represent that You are legally entitled to grant the above licenses. If Your employer(s) have rights to intellectual property that You create that includes Your Contributions, You represent that You have received permission to make Contributions on behalf of that employer or those employers, or that Your employer(s) have waived such rights for Your Contributions to the Project.
You represent that each of Your Contributions is Your original creation.
Except for the express warranties stated herein, the Contribution is provided on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.
By submitting a Contribution to the Project, You agree to be bound by the terms of this Agreement.
