TERMS AND CONDITIONS

1. PROPRIETARY SOFTWARE

This software, including all source code, documentation, designs, and related 
materials (hereinafter referred to as "The Software"), is proprietary and 
confidential property of Convergence - Human & Technology.

The Software is NOT open source and is NOT available under any open source 
license including but not limited to MIT, Apache, GPL, BSD, or Creative 
Commons licenses.


2. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights in The Software, including but not limited to 
patents, copyrights, trademarks, trade secrets, and know-how, are owned 
exclusively by Convergence - Human & Technology.

No ownership rights are transferred to you by this license.


3. PERMITTED USES

You may view this repository for informational purposes only.

Permitted uses are limited to :

    - Reviewing the project documentation
    - Viewing the public landing page
    - Contacting Convergence for licensing inquiries
    - Requesting early access to beta versions

Any other use is strictly prohibited without written permission.


4. PROHIBITED USES

You may NOT :

    - Copy, clone, or download the source code
    - Modify, reverse engineer, or decompile the Software
    - Create derivative works based on The Software
    - Distribute or sublicense The Software
    - Use The Software for any commercial purpose
    - Use The Software for any educational purpose without written permission
    - Extract, reuse, or repurpose any part of The Software
    - Remove or alter any proprietary notices, labels, or marks
    - Use The Software to develop competing products
    - Share access credentials or licensing information
    - Publish findings or analysis based on The Software


5. COMMERCIAL LICENSING

Commercial licenses for The Software are available exclusively from 
Convergence - Human & Technology.

Licensing options include :

    - SaaS (Software as a Service) License
    - Perpetual Use License
    - Enterprise License
    - Custom Enterprise Agreements

6. BETA ACCESS

Limited beta access may be available through Convergence. Beta access is 
granted at the sole discretion of Convergence and is subject to :

    - Confidentiality agreements
    - Non-disclosure requirements
    - Usage restrictions
    - Term limitations
    - Feedback rights for Convergence

Beta users may NOT redistribute or share access with others.


7. NO WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR 
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, 
FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

CONVERGENCE MAKES NO WARRANTY THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, 
OPERATE UNINTERRUPTED, OR BE ERROR-FREE.


8. LIMITATION OF LIABILITY

IN NO EVENT SHALL CONVERGENCE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, 
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, WHETHER BASED ON CONTRACT, 
TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

CONVERGENCE'S LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR A LICENSE, 
OR ZERO DOLLARS IF NO LICENSE WAS PURCHASED.


9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Convergence and its 
officers, directors, employees, and agents from any claims, damages, losses, 
liabilities, and expenses (including reasonable attorneys' fees) arising from :

    - Your unauthorized use of The Software
    - Your violation of this License
    - Your infringement of any intellectual property rights
    - Your violation of any applicable laws or regulations


10. CONFIDENTIALITY

This Software contains trade secrets and confidential information. You agree 
to maintain the confidentiality of The Software and not disclose it to any 
third parties without written permission from Convergence.


11. INTELLECTUAL PROPERTY NOTICE

The following are trademarks of Convergence - Human & Technology :

    - The Mirror
    - Convergence
    - Convergence Logo

All other marks are the property of their respective owners.


12. AUDIT RIGHTS

Convergence reserves the right to audit your use of any licensed version of 
The Software to ensure compliance with this License and the applicable 
licensing agreement.


13. TERMINATION

This License is effective immediately upon your first viewing of this 
repository.

Convergence may terminate this License at any time if you violate any of its 
terms.

Upon termination, you must cease all use of The Software and destroy all 
copies in your possession or control.


14. GOVERNING LAW

This License is governed by and construed in accordance with the laws of 
France, without regard to its conflict of law provisions.


15. SEVERABILITY

If any provision of this License is found to be invalid or unenforceable, 
the remaining provisions shall remain in full force and effect.


16. ENTIRE AGREEMENT

This License constitutes the entire agreement between you and Convergence 
regarding The Software and supersedes all prior and contemporaneous 
agreements, understandings, negotiations, and discussions.
