Thank you for your interest in contributing to the fazer.ai agents Free edition (the "Project"), maintained by FAZER.AI LTDA ("we", "us"). This Contributor License Agreement ("Agreement") states the terms under which You contribute to the Project. It protects You, us, and downstream users, and it lets us offer the Project under both its open-source license and a separate commercial (Pro) edition.
By submitting a Contribution (for example, a pull request) to the Project, You agree to the terms below for that Contribution and all future Contributions, unless You state otherwise in writing at the time of a Contribution.
- "You" means the individual who submits a Contribution, or the legal entity on whose behalf the Contribution is submitted.
- "Contribution" means any original work of authorship, including any modification of or addition to existing work, that You intentionally submit to the Project in any form, including source code, object code, documentation, and configuration.
You grant to FAZER.AI LTDA and to recipients of software distributed by us a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works, in source or object form, under any license terms, including open-source, proprietary, and commercial terms. This expressly includes the right to relicense and sublicense Your Contributions as part of the Project's commercial (Pro) edition.
You retain all right, title, and interest in and to Your Contributions. Nothing in this Agreement transfers ownership: You grant a license, not an assignment.
You grant to FAZER.AI LTDA and to recipients of software distributed by us a perpetual, worldwide, non-exclusive, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contributions. This license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the Project to which it was submitted. If any entity institutes patent litigation alleging that Your Contribution, or the Project to which You contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution shall terminate.
You represent that:
(a) You are legally entitled to grant the above licenses. If Your employer or any third party has rights to intellectual property You create, You represent that You have received permission to make the Contribution on behalf of that party, that they have waived such rights for Your Contributions, or that they have executed a separate corporate agreement with us.
(b) Each Contribution is Your original creation, or You have clearly identified the source and the license of any portion that is not Your original creation and that You are not entitled to license under Sections 2 and 3.
(c) To the best of Your knowledge, Your Contribution does not violate any third party's copyrights, trademarks, patents, or other intellectual property rights.
The decision to include Your Contribution in any product or release is entirely ours. This Agreement does not obligate us to use Your Contribution.
You are not expected to provide support for Your Contributions, except to the extent You wish to. Unless required by applicable law or agreed in writing, You provide Your Contributions "AS IS", without warranties or conditions of any kind, either express or implied.
This Agreement is governed by the laws of Brazil, with the courts of São Paulo, SP, Brazil as the competent forum, without regard to conflict-of-law principles.
How agreement is recorded: by submitting a pull request to the Project, as stated in the Project's CONTRIBUTING.md, or through any additional confirmation mechanism we adopt (such as a per-pull-request CLA check).
