Bridge Components PRO License (Team License)

1. Definitions

  • “Software” refers to the Bridge Components PRO package (including all components, code, templates, documentation, and other related materials) provided by Joseph Masilotti.
  • “Licensee” refers to the organization, company, team, or entity that has purchased or otherwise rightfully obtained access to the Software under a Team License.
  • “Authorized Developers” means the individual developers employed or contracted by the Licensee who are permitted to use the Software under this license.
  • “Projects” means any works, applications, websites, or other products developed by the Licensee using the Software.

2. License grant

Subject to the terms of this agreement, Joseph Masilotti grants the Licensee a non-exclusive, non-transferable, non-sublicensable right to:

  1. Install and use the Software within the Licensee’s organization for the benefit of the Licensee’s Projects.
  2. Allow up to the licensed number of Authorized Developers to access and use the Software.
  3. Modify the Software as needed for integration into Projects.

3. Permitted uses

  • Internal and client Projects: The Licensee may use the Software in unlimited Projects, including commercial client work, without additional fees.
  • Reassignable seats: The Licensee may reassign access to the Software to different developers as staffing changes occur, provided that the total number of Authorized Developers with access at any one time does not exceed the purchased seat count.
  • Deployment: Projects containing the Software may be deployed for internal use, for clients, or for public end-users, provided that the Software itself is not resold or redistributed in a stand-alone manner (see section 4).

4. Prohibited uses

  1. Redistribution of the Software: The Licensee must not distribute, publish, share, sublicense, rent, lease, or sell the Software (modified or unmodified) on its own or as a competing product.
  2. Open source release: The Licensee must not release the Software (modified or unmodified) under an open source license or upload it to any public code repository accessible outside the organization.
  3. Competing services: The Licensee must not use or modify the Software to create or offer a service, library, or toolkit that competes with the Software, whether free or paid.
  4. Unauthorized users: Access to the Software must not be shared with individuals outside the licensed organization, including subcontractors, freelancers, or clients, unless they are counted as Authorized Developers under the team’s active seat count.

5. Intellectual property and ownership

All intellectual property rights in and to the Software remain the exclusive property of Joseph Masilotti. Any modifications or derivative works made by the Licensee are still subject to this license and do not grant the Licensee ownership of the original Software.

6. Disclaimer of warranties

THE SOFTWARE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE LICENSEE ASSUMES ALL RISKS ASSOCIATED WITH USING OR RELYING ON THE SOFTWARE.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JOSEPH MASILOTTI BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF JOSEPH MASILOTTI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL LIABILITY OF JOSEPH MASILOTTI SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE LICENSEE FOR THE SOFTWARE.

8. Seat management and compliance

  1. Seat count: The Team License includes access for up to 25 developers. Only these approved developers may access or use the Software.
  2. Developer management: The Licensee must maintain an up-to-date list of the GitHub usernames of all developers who should have access to the private Bridge Components PRO repository.
    To add, remove, or update developers, the Licensee must notify Joseph Masilotti with the requested changes.
  3. Access control: The Licensee is responsible for ensuring that only approved developers have access. When a developer leaves the team or no longer requires access, the Licensee must notify Joseph Masilotti so that access can be revoked.
  4. Reassignment: Seats may be reassigned at any time, provided the total number of active developers does not exceed 25.

9. Termination

  1. Breach of terms: If the Licensee violates any of the terms in this license—including exceeding the authorized seat count—its rights under this license will immediately terminate.
  2. Effect of termination: Upon termination, the Licensee must discontinue use of the Software and destroy any copies of the Software in its possession. Provisions regarding ownership rights, disclaimers of warranties, limitation of liability, and other clauses intended to survive termination shall remain in effect.

10. Governing law

This license shall be governed by and construed in accordance with the laws of Oregon, without regard to its conflict of laws principles.

11. Entire agreement

This license constitutes the entire agreement between the Licensee and Joseph Masilotti regarding the Software and supersedes any prior understandings or agreements. Any amendment or modification to this license must be made in writing and signed by both parties.


By installing, accessing, or otherwise using the Software, the Licensee acknowledges that it has read this agreement, understands it, and agrees to be bound by its terms.
