All rights reserved.
This license governs the use of the Chipro software, source code, models,
documentation, and related materials (collectively, the “Software”) made
available in this repository by Mabrains LLC / Mabrains Company (“Mabrains”).
By downloading, accessing, installing, or using the Software, you agree to be
bound by this License Agreement, the Chipro Terms of Use, and the Chipro End
User License Agreement (EULA). If you do not agree, you must not use the Software.

1. LICENSE GRANT

Subject to your subscription tier (Free, Plus, Advance, or Enterprise) and
compliance with this Agreement:
(a) Free Tier
- Non-exclusive, non-transferable license for **non-commercial, educational,
or personal prototyping use only**.
- You may not use the Software to design chips for commercial sale or mass
production.
- You grant Mabrains a perpetual, royalty-free license to use your User
Content for debugging, service improvement, and AI model training.
(b) Plus Tier
- License for commercial use of the Software for chip design, verification,
and manufacturing.
- You grant Mabrains a perpetual, royalty-free license to use your User
Content for debugging, service improvement, and AI model training.
(c) Advance / Enterprise Tier
- License for commercial and enterprise use.
- **No User Content from this tier is used to train public AI models.**
- Data is processed solely as needed to provide the Service.
Nothing in this Agreement transfers ownership of the Software. The Software is
licensed, not sold.

2. RESTRICTIONS

Except as explicitly permitted by an applicable open-source component license:
You may NOT:
• Reverse engineer, decompile, or extract source code or model weights of the
proprietary portions of the Software.
(This restriction does *not* apply to GPLv3 or other open-source components.)
• Modify, sublicense, rent, lease, lend, sell, or redistribute the proprietary
portions of the Software.
• Remove proprietary notices or branding.
• Use the Software to develop a competing EDA tool or AI-based design assistant.
• Share your account or circumvent subscription restrictions.

3. OPEN-SOURCE COMPONENTS

The Software includes or links to third-party components licensed under
open-source licenses (including but not limited to **GPLv3, LGPL, Apache-2.0,
MIT**, or others).
These components are governed solely by their respective licenses.
Under the GPLv3, you have the right to:
• Access source code of GPL components,
• Modify them,
• Reverse engineer them as permitted by the GPL,
• Use them separately from the proprietary Software.
Nothing in this Agreement restricts any rights granted to you by open-source
licenses.

4. USER CONTENT

“User Content” includes designs, netlists, layouts, chat logs, and any data
uploaded or generated while using the Software.
(a) Free and Plus tiers
You grant Mabrains a worldwide, royalty-free, perpetual, irrevocable license
to use, reproduce, analyze, adapt, and process your User Content for:
• debugging the Service,
• improving and training AI Models,
• providing design services to other clients.
(b) Advance / Private tiers
User Content is processed solely to operate the Service.
It is not used for training public AI models.
You retain ownership of your User Content.

5. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR
IMPLIED. MABRAINS DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI output may be probabilistic or inaccurate. You are responsible for verifying
and validating all designs before fabrication or manufacturing.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MABRAINS SHALL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

7. TERMINATION

This Agreement terminates automatically if you fail to comply with its terms.
Upon termination, you must stop all use of the Software and destroy all copies.

8. GOVERNING LAW
-------------------------------------------------------------------------------
This Agreement is governed by the laws of the State of Wyoming, USA, without
regard to conflict-of-law principles.
