By installing this software, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and agree to be bound by the terms of this Agreement.
This Agreement governs your use of the Software during the Beta Phase. Your use of the Software is also subject to Zensical's Terms of Service, which together with this Agreement constitute the entire agreement between you and the Licensor. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall prevail with respect to the Software.
In this Agreement, the following terms have the meanings set out below:
- "Licensor" means Zensical LLC, a limited liability company organized under the laws of the state of Wyoming, United States.
- "Software" means the Zensical Studio application, a standalone program that provides development tooling by communicating with a Code Editor.
- "Code Editor" means any application that supports third-party integrations for writing and editing source code and documentation.
- "Beta Phase" means the current release period of the Software, during which all features are made available free of charge for evaluation and testing purposes.
- "Terms of Service" means Zensical's Terms of Service.
The Licensor grants you a personal, non-transferable, non-exclusive licence to install and use the Software during the Beta Phase, at no charge, solely for the purposes described in Section 3. This licence does not convey any ownership rights in the Software.
The Software is intended to be used through an integration with a Code Editor to provide development tooling for end users. You may use the Software for your own personal or professional development activities during the Beta Phase, including for commercial purposes.
You acknowledge and agree that:
- The Software is in a beta stage of development and may be incomplete, contain bugs or errors, and is not guaranteed to be stable or fit for any particular purpose.
- During the Beta Phase, the Licensor aims to gather feedback, identify bugs, and improve the Software before general release. By submitting bug reports, feature requests, or other feedback, you grant Zensical LLC a perpetual, irrevocable, royalty-free licence to use and build upon that feedback without any obligation or compensation to you.
- The Beta Phase is provided free of charge and may be discontinued or transitioned to a new release model at the Licensor's sole discretion.
- The Software may require periodic validation with the Licensor's servers to confirm Beta Phase eligibility. This is solely for validation purposes — no personal data is collected or stored by the Licensor. At the end of the Beta Phase, this validation will no longer be granted and the Software will cease to function.
- Features available during the Beta Phase are not guaranteed to be available, or available at no cost, in any future version of the Software.
- The Licensor will make reasonable efforts to notify users of any significant changes to the availability or pricing of the Software.
You are NOT permitted to:
- Edit, alter, modify, adapt, translate, or otherwise change the whole or any part of the Software, except as expressly permitted by applicable law.
- Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of the Software.
- Reproduce, copy, distribute, resell, or sublicence the whole or any part of the Software for any purpose other than as permitted under Section 3.
- Disable, bypass, modify, or conceal any notifications or mechanisms embedded in the Software.
- Use the Software in any manner that violates applicable laws or regulations.
The Software, and all intellectual property rights therein, are and shall remain the sole and exclusive property of Zensical LLC. This Agreement grants you a limited licence to use the Software and does not transfer any ownership rights. All rights not expressly granted are reserved by the Licensor.
The Licensor may update or replace this Agreement at any time, including upon the conclusion of the Beta Phase. Where practicable, reasonable notice of material changes will be provided. Your continued installation or use of the Software following any update constitutes your acceptance of the revised terms. If you do not agree to updated terms, you must uninstall and cease using the Software.
The Software is provided “as is” and without warranty of any kind. Given the beta nature of the Software, the Licensor expressly disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The Licensor does not warrant that the Software will be error-free, uninterrupted, or secure. Your use of the Software is entirely at your own risk. The Licensor has no obligation to provide technical support, maintenance, or updates during the Beta Phase."
To the maximum extent permitted by applicable law, in no event shall Zensical LLC, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or damages for loss of profits, revenue, data, or goodwill, arising out of or in connection with this Agreement or your use of or inability to use the Software, even if advised of the possibility of such damages. Because the Software is provided free of charge during the beta phase, the Licensor’s total liability shall not exceed USD $0.
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. At the end of the Beta Phase, the Software will cease to function and this Agreement will no longer permit continued use. To continue using the Software, you must accept a new Agreement governing the subsequent release. Sections 6, 8, 9, and 11 survive termination.
This Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Wyoming.
