Currency Converter End-User License Agreement (EULA)Preamble: Agreement to Terms and Binding AcceptanceThis End-User License Agreement ("EULA" or "Agreement") is a solemn, comprehensive, and legally binding contract meticulously crafted and entered into on this day between you, an individual natural person or a legal entity acting on behalf of an organization ("You," "Your," "User," or "Licensee"), and NotGamerPratham, a private individual software developer and the rightful owner, custodian, and exclusive copyright holder of all intellectual property rights pertaining to the "Currency Converter" software, as comprehensively defined in Section 1 below ("Developer," "I," "My," "Licensor"). This EULA is an exhaustive document that governs, with full legal force and effect, every conceivable aspect of Your usage of the Software. This governance extends to and encompasses all its intricate components, all associated digital and physical documentation, and any and all past, present, and future updates, upgrades, patches, modifications, or enhancements that may be provided by the Developer, whether free of charge or for a fee. By downloading, installing, copying, accessing, or in any other manner whatsoever utilizing the Software, You hereby unequivocally and irrevocably acknowledge, confirm, and agree that You have diligently read, fully understood, and are in complete, unconditional, and irrevocable agreement to be bound by the entirety of the terms and conditions meticulously set forth within this EULA. This Agreement is effective and legally enforceable from the very moment of Your initial installation or first use of the Software, whichever occurs earlier. Should You, for any reason, find that You are in disagreement with any provision, clause, or term of this EULA, in whole or in part, You are strictly and absolutely prohibited from installing, accessing, or using the Software and must immediately and permanently destroy any and all copies of the Software, along with all associated documentation, in Your possession or under Your control.1. Definitions: A Compendium of TerminologyFor the precise and unambiguous interpretation and consistent enforcement of this EULA, the following capitalized terms shall hold the meanings as exhaustively defined below. These definitions are integral to the understanding of the entire document and shall be applied consistently throughout all sections, clauses, and sub-clauses."Software": An all-encompassing term that refers to the "Currency Converter" application in its entirety. This includes, but is not limited to, all its component parts, underlying source code, compiled object code, executable files, all associated scripts, all included software libraries (both static and dynamic), user interface elements, graphic assets, design schematics, algorithms, data structures, and any and all modifications, additions, or enhancements to any of the aforementioned items, regardless of their origin or the date of their implementation. The term "Software" also includes any future versions, upgrades, and updates provided by the Developer."Documentation": A comprehensive term that refers to any and all user manuals, technical guides, help files, API specifications, architectural diagrams, release notes, license files, or other written, electronic, or visual materials, in any format whatsoever, that describe the functionality, operation, installation, or use of the Software."User" or "You": Refers to the individual human being or the single legal entity that is installing, accessing, or otherwise utilizing the Software under the terms of this EULA. This definition includes any and all Authorized Users acting on behalf of a legal entity."Developer" or "I": Refers to NotGamerPratham, the sole and exclusive author, originator, and licensor of the Software."Intellectual Property Rights": An expansive and all-encompassing term that includes, but is not limited to, all copyrights, trademarks, service marks, trade names, patents, utility models, designs, trade secrets, database rights, moral rights, and any and all other intellectual or industrial property rights, whether registered or unregistered, and including all applications for, rights to apply for, and renewals or extensions of such rights, throughout the world, now existing or hereafter coming into existence."Licensed Use": The specific, limited, and non-exclusive usage of the Software as expressly and explicitly permitted, and not otherwise prohibited, by the terms of this EULA."Free of Charge": Denotes that the Software is provided without a monetary cost or a license fee for its primary license to the User. This term does not, under any circumstances, relieve the User from bearing any related or incidental costs, including, but not limited to, internet access fees, electricity costs, hardware expenses, or any other expenses required to access or use the Software."Term": The period during which this EULA remains in full force and effect. The Term commences upon Your initial installation or use of the Software and continues indefinitely until terminated in accordance with the provisions of this EULA."Affiliate": Any entity that directly or indirectly controls, is controlled by, or is under common control with the User."Third-Party Component": Any software, code, library, or other material, including open-source software, that is licensed to the Developer by a third party and is distributed with or is an integral part of the Software."Prohibited Use": Any and all use of the Software that is not expressly permitted by this EULA or is otherwise prohibited by its terms."Derivative Work": Any work that is based upon one or more preexisting works, such as a translation, musical arrangement, dramatization, fictionalization, motion picture version, sound recording, art reproduction, abridgment, condensation, or any other form in which a work may be recast, transformed, or adapted."Confidential Information": Any and all information, whether oral or written, disclosed by the Developer to the User in connection with this EULA, that is marked or identified as confidential, or which, by its nature, would reasonably be understood to be confidential."Effective Date": The date on which You first install, access, or use the Software."Authorized Use": The use of the Software in strict compliance with the terms and conditions of this EULA."Proprietary Notices": Any and all copyright, trademark, patent, or other proprietary rights notices that are affixed to or embedded within the Software or its Documentation."Authorized User": A person authorized by You to use the Software in accordance with the terms of this EULA, provided that such person is a member of Your organization and uses the Software on a device legitimately controlled by You."Malicious Code": Any viruses, worms, trojan horses, time bombs, cancelbots, corrupted files, or any other destructive, harmful, or contaminating computer programs or code."Territory": The geographic jurisdiction within which the Software is licensed to be used, which, in the absence of a specific limitation, is the entire world, subject to all applicable export control laws."System Requirements": The minimum hardware and software specifications necessary to run the Software, as detailed in the Documentation.2. Grant of License: Scope and ConditionsSubject to the Your continuous and full compliance with every single term and condition set forth in this EULA, the Developer, hereby and without reservation, grants You a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license for the duration of the Term. The scope of this license is strictly and narrowly defined as follows:(a) Installation and Operation: You are permitted to install and operate one (1) copy of the Software on a single computer or other digital device that is owned, leased, or otherwise legitimately controlled by You. The Software may only be used for its intended purpose of currency conversion and related functionalities as explicitly provided and described in the Documentation. The Developer makes no representation, warranty, or guarantee that the Software is fit for any other purpose, and any such use is at Your sole risk. Any use of the Software on a network or server, or its use by multiple users, is strictly prohibited without the Developer's express written consent.(b) Backup and Archival: You are permitted to create a single (1) backup copy of the Software, exclusively for Your own archival purposes. This backup copy may not be used for any operational purposes, and it must be stored in a secure location, physically and digitally separate from the primary installation. The original and all copies of the Software, including the backup copy, shall remain the exclusive property of the Developer at all times.(c) Documentation Use: You are permitted to use the Documentation solely in conjunction with Your Authorized Use of the Software. You may not copy, distribute, publicly display, or modify the Documentation without the Developer's express written consent.(d) Nature of License: This license is provided for both personal and commercial use, provided that such commercial use is strictly limited to the functionalities of the Software as provided. For the avoidance of doubt, commercial use does not include, and this license does not permit, the resale, sublicensing, redistribution, or any other form of commercial exploitation of the Software itself, either in its entirety or in any of its component parts. This license is a limited grant of rights and not a sale of the Software or any copy thereof.(e) Licensee Responsibilities: You are solely responsible for ensuring that Your use of the Software is in full compliance with all applicable laws and regulations in Your jurisdiction. You are also responsible for obtaining and maintaining all necessary hardware, software, and internet connectivity required to run the Software. The Developer assumes no responsibility for Your failure to meet these requirements.3. Intellectual Property Rights: Ownership and ProtectionThe Software, as a whole, and all of its individual components, including but not limited to the source code, object code, executable files, all associated data files, user interface designs, graphics, text, and any and all modifications, belong exclusively and solely to NotGamerPratham. The Software is a protected work under national and international copyright laws and treaties. All Intellectual Property Rights in and to the Software are the exclusive property of the Developer. This EULA grants You a limited right to use the Software as a licensee; it does not, under any circumstances, convey or transfer to You any title, interest, or ownership rights in or to the Software or any of its component parts. You shall not, at any time, challenge the Developer's ownership or rights in the Software.(a) Copyright: All content and materials within the Software, including its source code, are the exclusive property of the Developer and are protected by copyright laws. Any unauthorized reproduction, distribution, public display, or performance of the Software is a violation of copyright law.(b) Trademarks: All trademarks, service marks, and trade names used in connection with the Software are the property of the Developer. You are not granted any right or license to use these trademarks without the Developer's express written permission.(c) Trade Secrets: The Software contains valuable trade secrets and confidential information belonging to the Developer. You agree to protect this information and not to disclose it to any third party.(d) User Contributions: Any suggestions, feedback, or other information You provide to the Developer regarding the Software will be considered non-confidential and non-proprietary. The Developer shall have a royalty-free, worldwide, transferable, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and distribute this information for any purpose without any compensation to You.4. Restrictions on Use: Prohibited ActivitiesYou are strictly and unequivocally prohibited from, and shall not permit or assist any third party to, engage in any of the following Prohibited Uses. Any violation of these restrictions will result in the immediate and automatic termination of this EULA and may subject You to legal action.(a) Reverse Engineering and Decompilation: You shall not reverse engineer, decompile, disassemble, or attempt to discover the source code, underlying ideas, algorithms, or structure of the Software, in whole or in part, except to the extent that such activity is expressly and non-excludably permitted by mandatory applicable law. This prohibition extends to the analysis of the Software's runtime behavior, network protocols, and data formats for the purpose of recreating its functionality.(b) Modification and Derivative Works: You shall not modify, adapt, translate, or create any Derivative Works based on the Software. This includes, but is not limited to, altering the user interface, adding new features, or changing the core functionality of the Software without the express written consent of the Developer.(c) Commercial Exploitation: You shall not distribute, sell, resell, rent, lease, lend, license, sublicense, or otherwise transfer the Software or any of Your rights under this EULA to any third party. This prohibition includes, but is not limited to:Hosting the Software for others to use on a commercial basis.Bundling the Software with another product or service for which a fee is charged.Using the Software to create a competing product or service.(d) Unauthorized Purpose: You shall not use the Software for any illegal, immoral, or unauthorized purpose, including, but not limited to, infringing on any Intellectual Property Rights of any third party.(e) Proprietary Notices: You shall not remove, alter, or obscure any Proprietary Notices from the Software or its Documentation.(f) Network Impairment: You shall not use the Software in any manner that could potentially damage, disable, overburden, or impair any server or network connected to the Software or its underlying services.(g) Circumvention of Technology: You shall not bypass or attempt to bypass any technological measures or security features implemented by the Developer to control access to the Software or protect its Intellectual Property Rights.(h) Data Mining: You shall not use the Software to engage in any form of data mining, data scraping, or data extraction without the express written consent of the Developer.(i) Harmful Use: You shall not use the Software to transmit any viruses, Malicious Code, or other harmful code.(j) Unauthorized Access: You shall not attempt to gain unauthorized access to any part of the Software or its underlying systems or networks.5. Third-Party Components: Compliance with External LicensesThe Software may incorporate or be distributed with various Third-Party Components, including open-source libraries. These components are licensed to the Developer by their respective owners and are subject to their own separate license agreements. A complete and exhaustive list of such Third-Party Components and their corresponding licenses may be found in the LICENSE.txt file located within the Software’s installation directory or in the online Documentation. By installing and using the Software, You agree to comply with all terms and conditions of these Third-Party Component licenses. Your failure to comply with these third-party licenses may result in the automatic termination of this EULA. The Developer provides no warranty or support for Third-Party Components and shall not be liable for any damages or issues arising from their use.6. Data Collection and Privacy: A Detailed CommitmentThe Developer is profoundly committed to protecting Your privacy. The Software is designed to function with minimal data collection. However, certain limited, non-personally identifiable usage data may be collected to analyze and improve the Software's performance, functionality, and overall user experience. This data is collected in an aggregated and anonymized format and is not used to personally identify any individual User.(a) Data Collected: This data may include, but is not limited to:Application version and build number.Operating system version and type.Error and crash reports.Non-identifiable usage statistics, such as the number of times a feature is used.Device identifiers that are not linked to Your personal information.(b) Purpose of Data Collection: The sole purpose of this data collection is to help the Developer understand how the Software is being used, identify and fix bugs, and improve the user experience.(c) No Personal Information: The Software does not, and will not, collect any of Your personal information such as Your name, email address, physical address, or any other personally identifiable information without Your explicit, opt-in consent. For a more exhaustive and transparent explanation of data handling practices, please refer to the comprehensive Privacy Policy document, which is considered an integral part of this EULA.7. Support and Maintenance: On an "As-Is" BasisThe Developer provides the Software on a strict "as-is" basis, with no obligation to provide any maintenance, technical support, updates, or bug fixes. The Developer is not responsible for any issues, errors, or malfunctions that may arise from the use of the Software. Any support or updates that may be provided are entirely at the Developer's sole discretion and may be subject to additional terms and conditions.(a) No Service Level Agreement (SLA): The Developer does not provide any SLA or guarantee a specific response time for support requests. Any communication or assistance provided is on a "best-effort" basis.(b) Updates: The Developer may, from time to time, provide updates or upgrades to the Software. Such updates are not mandatory and may not be compatible with Your existing system. The Developer reserves the right to charge for such updates in the future.8. Disclaimer of Warranties: A Comprehensive ExclusionTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE." THE DEVELOPER HEREBY EXPRESSLY AND UNEQUIVOCALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. THE DEVELOPER DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. YOU ACKNOWLEDGE AND AGREE THAT THE ENTIRE RISK AS TO THE RESULTS, QUALITY, AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.(a) No Warranty of Accuracy: The Developer does not guarantee the accuracy of any currency conversion rates or data provided by the Software. You are responsible for verifying all information and should not rely on the Software for critical financial decisions.(b) No Warranty of Compatibility: The Developer does not warrant that the Software will be compatible with all hardware, software, or operating systems. You are solely responsible for ensuring that Your system meets the System Requirements.9. Limitation of Liability: A Fundamental AgreementNOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR, THE ENTIRE CUMULATIVE LIABILITY OF THE DEVELOPER UNDER ANY PROVISION OF THIS EULA AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL BE LIMITED TO THE AMOUNT, IF ANY, PAID BY YOU FOR THE SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.(a) Specific Exclusion of Damages: The Developer shall not be liable for any damages related to:Loss of data, business, or profits.Costs of procuring substitute goods, services, or technology.Errors or inaccuracies in the currency conversion data.Any failure of the Software to perform its intended functions.10. Indemnification: A Hold Harmless ClauseYou agree to indemnify, defend, and hold harmless the Developer and its affiliates, officers, directors, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Your use of the Software, Your breach of any term of this EULA, or Your violation of any rights of a third party.(a) Indemnification Procedures: You shall promptly notify the Developer of any claim for which You are obligated to provide indemnification. The Developer reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by You.11. Termination: Duration and ConsequencesThis EULA is effective from the Effective Date and shall continue indefinitely until terminated. Your rights under this EULA will terminate automatically and without notice from the Developer if You fail to comply with any of its terms and conditions. Upon termination, You must immediately cease all use of the Software and destroy all copies of the Software and all of its component parts. The provisions of Sections 3, 4, 8, 9, 10, and 12 shall survive any termination of this EULA.(a) User Termination: You may terminate this EULA at any time by ceasing all use of the Software and destroying all copies.12. Governing Law and Dispute Resolution: Jurisdiction and VenueThis EULA and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action or proceeding related to this EULA shall be brought exclusively in the courts located in Bengaluru, Karnataka, India. The parties hereby consent to the exclusive jurisdiction and venue of such courts.(a) Dispute Resolution: Before initiating any legal action, the parties agree to first attempt to resolve any dispute arising from this EULA through good faith negotiation.13. Severability: Independent ProvisionsIf any provision of this EULA is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions of this EULA shall remain in full force and effect.14. Entire Agreement: The Full UnderstandingThis EULA constitutes the entire and complete agreement between You and the Developer relating to the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations concerning the subject matter of this EULA. No amendment to this EULA shall be binding unless in writing and signed by an authorized representative of the Developer.15. Assignment: Non-TransferabilityYou may not assign this EULA or any of Your rights or obligations under it, in whole or in part, without the prior written consent of the Developer. Any attempted assignment in violation of this section shall be null and void.16. Waiver: No Preclusion of RightsThe failure of the Developer to exercise or enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.17. Force Majeure: Unforeseen EventsThe Developer shall not be liable for any delay or failure in performance of its obligations under this EULA arising from any cause beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.18. Construction: Headings and InterpretationThe headings in this EULA are for convenience only and shall not be used to interpret or construe the provisions of this EULA. The language in this EULA shall be interpreted as a whole according to its fair meaning and not strictly for or against either party.19. Notices: Communication RequirementsAny notices required or permitted to be given under this EULA shall be in writing and shall be deemed to have been given upon receipt when delivered by hand, by registered mail, or by a reliable courier service to the parties' respective addresses as provided in the Documentation or on the Developer's official website.20. No Partnership: Independent RelationshipNothing in this EULA shall be construed as creating a partnership, joint venture, or agency relationship between You and the Developer.21. Survival: Continuing ObligationsAll provisions that by their nature are intended to survive the termination of this EULA, including but not limited to sections 3, 4, 8, 9, 10, 12, 13, 14, and 15, shall survive the termination of this EULA.22. Export Controls: International ComplianceYou agree to comply with all applicable export and import laws and regulations of any government agency with jurisdiction over the Software, including without limitation the U.S. Export Administration Regulations.23. Third-Party Beneficiaries: No Third-Party RightsThis EULA is for the benefit of the parties and their successors and permitted assigns, and does not confer any rights or remedies upon any other person.24. Updates to the EULA: Developer's Right to ModifyThe Developer reserves the right to modify this EULA at any time. The most current version of the EULA will be posted on the Developer's official website or provided with future updates of the Software. Your continued use of the Software after any such modification constitutes your acceptance of the modified EULA.25. Language: English as Controlling LanguageThe official and controlling language of this EULA is English. Any translation of this EULA is provided for convenience only, and in the event of any conflict, the English version shall prevail.26. User Representations and WarrantiesYou represent and warrant that You have the legal capacity to enter into this EULA and that You will use the Software only in a manner consistent with the terms of this EULA and all applicable laws and regulations.27. Entirety of the Agreement: A Conclusive DocumentThe terms and conditions of this EULA represent the final and complete understanding between You and the Developer concerning the Software and supersede any prior agreements, representations, or understandings, whether written or oral.28. No Oral ModificationsThis EULA may only be modified by a written agreement signed by both You and the Developer. No oral modifications or waivers of any provision will be effective.29. Privacy Policy IntegrationThe Developer's Privacy Policy, as it may be updated from time to time, is hereby incorporated by reference into this EULA as if fully set forth herein.30. Data Handling ProtocolsYou acknowledge and agree that certain functionalities of the Software may require data to be transmitted to and from the Developer’s servers. All such data will be handled in accordance with the Privacy Policy.31. Future FunctionalityAny future functionality or features of the Software that may be released by the Developer will be subject to the terms of this EULA.32. Licensee AcknowledgmentYou, the Licensee, acknowledge that You have had the opportunity to review this EULA with legal counsel of Your choosing before accepting its terms. You are fully responsible for Your own legal interpretation of this EULA.33. Acceptance and Binding NatureYou, the User, are hereby put on notice that by clicking the "I Agree" button, or by installing, copying, or using the Software, you are providing your explicit and unconditional consent to be bound by all of the terms and conditions of this EULA. This consent is both a digital signature and a legally binding act.34. A Final StatementThis license agreement is a testament to the Developer's commitment to creating high-quality, free software while protecting its own interests.
